This Customer Engagement Agreement ("Agreement") is entered into by and between VanderNet Technology Services LLC ("Company") and the undersigned ("Client" or "You") as of the Effective Date, which shall be the date of mutual agreement between the parties.

1. Scope of Engagement:

The Company agrees to engage with customers or potential customers ("Recipients") via email and text message for the purpose of delivering relevant information, updates, promotions, and other communications as agreed upon. The engagement includes but is not limited to:

Sending marketing emails and text messages to Recipients who have provided explicit consent or opted-in to receive such communications.
Complying with all applicable laws and regulations, including but not limited to CAN-SPAM Act, Telephone Consumer Protection Act (TCPA), General Data Protection Regulation (GDPR), and relevant local data protection laws.
2. Consent and Opt-in:

Client agrees to provide evidence of valid and verifiable consent from Recipients before engaging with them via email and text message. The consent must clearly outline the purpose of communication, frequency, and methods for opting-out.

3. Data Privacy and Security:

Both parties agree to implement appropriate technical and organizational measures to protect the privacy and security of Recipient data. Client shall ensure that any data provided to the Company for engagement purposes is accurate and lawfully obtained.

4. Content and Messaging:

Client shall provide Company with accurate and relevant content for email and text message communications. Company shall review and approve all content prior to distribution to ensure compliance with legal and ethical standards.

5. Frequency and Opt-Out:

Client shall adhere to Recipients' specified communication preferences, including frequency and content. A clear and easily accessible opt-out mechanism shall be provided in all communications, allowing Recipients to unsubscribe from further communications.

6. Indemnification:

Client agrees to indemnify and hold harmless the Company from any claims, damages, liabilities, and expenses arising out of or related to Client's failure to comply with applicable laws, regulations, or the terms of this Agreement.

7. Termination:

Either party may terminate this Agreement at any time with written notice to the other party. Upon termination, all ongoing communications will cease, and Client shall promptly provide Company with any necessary information to facilitate the discontinuation of engagement.

8. Governing Law:

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Company is headquartered.

9. Amendments:

Any amendments or modifications to this Agreement shall be made in writing and signed by both parties.

By signing below, the parties indicate their understanding and acceptance of the terms and conditions outlined in this Customer Engagement Agreement.
